1. INTRODUCTION

1.1 These Terms and Conditions ("Terms") govern the provision of lead generation services by Genesys Digital Pty Ltd (ABN 12 683 461 663) doing business as Genesys Leads ("Genesys Leads", "we", "us", or "our") to mortgage brokers and brokerages ("Client", "you", or "your").

1.2 By purchasing leads from Genesys Leads, you agree to be bound by these Terms.

1.3 We reserve the right to update these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.

2. SERVICES

2.1 Genesys Leads provides pay-per-lead services, delivering exclusive mortgage leads to Clients in the following categories:

First Home Buyer leads

Refinance leads

Investment property leads

2.2 All leads are generated through our proprietary multi-channel marketing campaigns and are pre-qualified and SMS-validated before delivery.

2.3 Leads are delivered exclusively to you and are never shared, resold, or recycled to other brokers.

2.4 Lead delivery methods include email, SMS, CRM integration, and API. The primary delivery method is email unless otherwise agreed.

2.5 Leads are typically delivered within 24-72 hours of payment confirmation and campaign activation.

3. LEAD QUALITY & VALIDATION

3.1 All leads provided by Genesys Leads are:

SMS-validated to confirm phone number accuracy

Pre-qualified through a multi-step questionnaire process

Exclusive to you (never shared or resold)

Generated in real-time from active marketing campaigns

3.2 Each lead includes the following information (where applicable):

Full name

Validated mobile phone number

Email address

Lead type (First Home Buyer, Refinance, or Investor)

Pre-qualification data relevant to the lead category

Timestamp of lead submission

3.3 Genesys Leads makes no guarantees regarding:

Conversion rates or lead-to-application ratios

The financial serviceability of any lead

Whether a lead will ultimately proceed to settlement

The quality of communication or engagement from any individual lead

4. MINIMUM ORDER & PRICING

4.1 The minimum purchase quantity is 25 leads per order.

4.2 Pricing is agreed upon prior to purchase and may vary based on lead type, volume, and geographic targeting.

4.3 All prices are in Australian Dollars (AUD) and are inclusive of GST unless otherwise stated.

4.4 Pricing is subject to change at our discretion. Price changes will not affect orders already paid for.

5. PAYMENT TERMS

5.1 Payment is required in full before leads are delivered.

5.2 We accept payment via:

Credit card

Invoice (for approved Clients)

Direct debit

5.3 All invoices are due immediately upon receipt unless alternative payment terms have been agreed in writing.

5.4 We reserve the right to suspend or terminate services if payment is not received within 7 days of the due date.

6. LEAD REPLACEMENT POLICY

6.1 Genesys Leads offers a Lead Replacement Guarantee for invalid leads.

6.2 A lead qualifies for replacement if:

The phone number is disconnected or non-existent

The phone number belongs to the wrong person (i.e., not the person named in the lead)

The lead is a duplicate of a lead previously delivered to you

The contact details provided are demonstrably fake or fraudulent

6.3 Replacement requests must be submitted within 30 days of lead delivery.

6.4 A maximum of 5 leads per order of 25 leads can be replaced under this policy.

6.5 Leads do NOT qualify for replacement if:

The lead does not answer your calls or respond to your messages

The lead is no longer interested in proceeding

The lead has poor credit or does not meet serviceability requirements

The lead chooses to work with another broker

The lead's circumstances have changed since submission

6.6 Replacement leads will be issued within 7 business days of a valid replacement request being approved.

6.7 No refunds are provided. Lead replacements are the sole remedy for invalid leads.

7. CLAWBACK GUARANTEE

7.1 Genesys Leads offers a Clawback Guarantee to protect Clients against commission clawbacks.

7.2 If your commission on a settled loan sourced from a Genesys Leads lead is clawed back by the lender within 12 months of settlement due to:

The borrower refinancing away from the lender, or

The borrower defaulting on the loan

We will replace the original lead with a new lead at no additional cost.

7.3 To qualify for the Clawback Guarantee, you must:

Provide evidence of the original lead (including lead delivery date and lead details)

Provide evidence of settlement (loan settlement statement or equivalent)

Provide evidence of the clawback (commission clawback notice from aggregator or lender)

Submit your claim within 30 days of the clawback occurring

7.4 The Clawback Guarantee applies only to leads that result in a settled loan. Leads that do not proceed to settlement are not eligible.

7.5 The Clawback Guarantee is our sole commitment regarding post-settlement outcomes. We accept no liability for clawbacks beyond the provision of replacement leads as outlined above.

8. CLIENT RESPONSIBILITIES

8.1 You are solely responsible for:

Contacting and engaging with leads in a timely manner

Complying with all applicable laws, including the National Consumer Credit Protection Act 2009 (Cth), Privacy Act 1988 (Cth), and Spam Act 2003 (Cth)

Ensuring you hold all necessary licences and accreditations to provide mortgage broking services

Determining the creditworthiness and serviceability of any lead

Managing your own sales processes, CRM systems, and follow-up procedures

8.2 You must not:

Resell, share, or distribute leads to third parties

Use leads for any purpose other than mortgage broking services

Spam, harass, or engage in any unlawful communication with leads

Misrepresent your relationship with Genesys Leads to any lead

8.3 You agree to indemnify and hold harmless Genesys Leads from any claims, losses, or damages arising from your use of the leads or your provision of mortgage broking services.

9. INTELLECTUAL PROPERTY

9.1 All content, systems, processes, and materials provided by Genesys Leads remain our intellectual property.

9.2 You are granted a non-exclusive, non-transferable licence to use the leads solely for the purpose of providing mortgage broking services to those individuals.

9.3 You must not reverse-engineer, replicate, or copy any of our lead generation processes, campaigns, or systems.

10. CONFIDENTIALITY

10.1 Both parties agree to keep confidential any proprietary or commercially sensitive information disclosed during the course of this relationship.

10.2 This obligation survives the termination of services.

11. DATA PROTECTION & PRIVACY

11.1 Genesys Leads collects, uses, and stores personal information in accordance with the Privacy Act 1988 (Cth).

11.2 By using our services, you acknowledge that we collect and process personal information about you (contact details, payment information) and about the leads we provide to you.

11.3 Our full Privacy Policy is available at [insert link] and governs how we handle personal information.

11.4 You agree to handle all lead data in accordance with applicable privacy laws and to maintain appropriate security measures to protect lead information.

12. CANCELLATION & ADJUSTMENTS

12.1 You may adjust your lead volume or pause your lead flow at any time by providing 30 days' written notice.

12.2 There are no penalties or cancellation fees for pausing or adjusting your lead volume.

12.3 If you have pre-paid for leads that have not yet been delivered, we will either:

Deliver the remaining leads within a mutually agreed timeframe, or

Issue a pro-rata refund for undelivered leads

12.4 We reserve the right to terminate services immediately if you breach these Terms.

13. LIMITATION OF LIABILITY

13.1 To the maximum extent permitted by law, Genesys Leads:

Makes no warranties or representations regarding lead quality, conversion rates, or outcomes

Is not liable for any lost profits, lost revenue, or consequential damages arising from your use of our services

Is not liable for any failure of a lead to proceed to application, approval, or settlement

Is not liable for any clawbacks, defaults, or refinancing by borrowers introduced via our leads (except as provided under the Clawback Guarantee in Section 7)

13.2 Our total liability to you for any claim arising from these Terms or our services is limited to the total amount you have paid us in the 12 months preceding the claim.

13.3 Nothing in these Terms excludes or limits our liability for:

Fraud or fraudulent misrepresentation

Death or personal injury caused by our negligence

Any liability that cannot be excluded or limited under Australian law

14. DISPUTE RESOLUTION

14.1 Any disputes arising from these Terms or our services must first be addressed through good-faith negotiations between the parties.

14.2 If a dispute cannot be resolved within 30 days, either party may refer the matter to mediation.

14.3 These Terms are governed by the laws of New South Wales, Australia. Both parties submit to the exclusive jurisdiction of the courts of New South Wales.

15. GENERAL PROVISIONS

15.1 Entire Agreement: These Terms constitute the entire agreement between you and Genesys Leads and supersede all prior agreements or understandings.

15.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

15.5 Force Majeure: We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control (e.g., natural disasters, internet outages, platform changes by third-party advertising providers).
